Terms of Service
Effective June 4, 2026 · Last updated October 15, 2026
These Terms of Service ("Terms") govern access to and use of the LeadWise platform and related services provided by LeadWise, a Grovara Technologies company ("LeadWise," "we," "our," or "us").
1. Access and Use of Services
During the applicable subscription term, LeadWise grants Customer a limited, non-exclusive, non-transferable right to access and use the Services in accordance with these Terms and any applicable Order Form. Access may include AI-powered outreach and email sequences, CRM and contact management, contact health scoring, reply classification, data enrichment, audience segmentation, lead-capture forms, deliverability and mailbox warm-up tools, analytics, automation workflows, a browser extension, and related features.
LeadWise may provide certain services through third-party infrastructure providers or integrations.
2. User Accounts and Responsibilities
Customer represents and warrants that it has full authority to enter into these Terms and that all users are at least eighteen (18) years of age. Customer shall remain responsible for all acts and omissions of its employees, contractors, agents, affiliates, and authorized users.
Customer is responsible for all activity conducted under its accounts, including activities performed by employees, contractors, affiliates, or authorized users. Customer shall ensure that all users comply with these Terms. Customer shall promptly notify LeadWise of any unauthorized access, credential compromise, or security incident affecting Customer's account.
3. AI Features and Generated Outputs
The Services may generate AI-created content, classifications, scores, recommendations, summaries, outreach drafts, or other outputs ("AI Outputs"). AI Outputs are generated probabilistically and may contain inaccuracies, omissions, hallucinations, outdated information, or content unsuitable for Customer's intended use. Customer is solely responsible for reviewing, validating, approving, and supervising all AI Outputs prior to use, transmission, or reliance. LeadWise disclaims all liability arising from Customer's use of AI Outputs.
4. Acceptable Use and Outreach Compliance
Customer shall not use the Services to: (i) send spam, phishing, deceptive, fraudulent, or unlawful communications; (ii) upload or process unlawfully obtained contact data; (iii) violate CAN-SPAM, GDPR, UK GDPR, CASL, TCPA, or other applicable laws; (iv) interfere with platform security or integrity; (v) reverse engineer or misuse the Services; or (vi) engage in abusive automation or scraping practices. Customer remains solely responsible for all outreach activity conducted using the Services.
5. Deliverability Protection and Platform Integrity
LeadWise reserves the right to monitor bounce rates, spam complaints, sending reputation, anomalous usage, excessive automation activity, security risks, or suspicious behavior. LeadWise may suspend, throttle, quarantine, or terminate access where necessary to protect platform integrity, third-party deliverability relationships, infrastructure stability, or legal compliance.
6. Subscription Plans, Fees, and Billing
Subscription fees, usage limits, feature restrictions, billing intervals, contact caps, AI usage limits, and add-on pricing shall be described in applicable pricing schedules or Order Forms. Fees are non-refundable except as expressly stated herein. LeadWise reserves the right to modify pricing upon renewal with prior notice. Failure to timely pay amounts due may result in suspension or termination of Services.
7. Billing, Renewal, and Cancellation
Subscriptions renew automatically at the end of each billing period, monthly or annual, and the payment method on file is charged for the next period unless the subscription has been cancelled.
When Customer changes plans, unused time on the current plan becomes account credit, which is applied to the change and to future invoices. Upgrades take effect immediately and are charged the prorated difference. Downgrades take effect at the end of the current billing period. Customers on annual billing may switch to monthly billing only at renewal.
To cancel, Customer contacts LeadWise support at support@getleadwise.ai. Cancellation takes effect at the end of the billing period already paid for, and the Services remain available until then. LeadWise does not provide refunds; account credit is applied to future invoices instead.
8. Customer Data
Customer retains ownership of all Customer Data uploaded, processed, stored, or transmitted through the Services. Customer grants LeadWise a worldwide, limited right to host, copy, process, transmit, analyze, and display Customer Data solely as necessary to provide, maintain, secure, support, and improve the Services. Customer represents and warrants that it possesses all rights and permissions necessary to process Customer Data using the Services.
9. AI Training and Data Usage
LeadWise may use anonymized, aggregated, and de-identified usage information to improve platform performance, analytics, security, and AI functionality. LeadWise shall not intentionally use Customer-specific confidential information or Customer Data to train generalized public AI models without Customer consent.
10. Third-Party Services and Integrations
The Services may integrate with third-party providers including Gmail, Microsoft Outlook, HubSpot, Apollo.io, the Google Chrome browser extension, payment processors (Stripe), cloud infrastructure vendors, and AI providers. The providers that process Customer Data, and what each receives, are listed in the LeadWise Privacy Policy. LeadWise is not responsible for third-party service availability, functionality, outages, policies, pricing changes, API limitations, or acts or omissions of third parties.
11. Confidentiality
Each party agrees to protect the other party's Confidential Information using at least reasonable care and to use such information solely in connection with the Services. Confidential Information shall not include information that is publicly available, independently developed, or lawfully obtained without confidentiality obligations.
12. Intellectual Property
LeadWise and its licensors retain all rights, title, and interest in and to the Services, software, AI systems, models, workflows, APIs, documentation, branding, and related intellectual property. Customer shall not copy, distribute, reverse engineer, modify, create derivative works from, or otherwise misuse the Services except as expressly permitted.
13. Indemnification by Customer
Customer shall indemnify, defend, and hold harmless LeadWise, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any and all claims, liabilities, damages, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) Customer's use of the Services; (ii) Customer's violation of these Terms or applicable law; (iii) Customer Data; (iv) Customer outreach activity; (v) allegations that Customer communications violate privacy, anti-spam, intellectual property, or data protection laws; or (vi) unauthorized or unlawful use of third-party integrations or data sources.
14. Indemnification by LeadWise
LeadWise shall defend Customer against third-party claims alleging that the core LeadWise Services infringe a valid United States patent, copyright, or trademark, and shall indemnify Customer for resulting damages finally awarded by a court or agreed in settlement. LeadWise shall have no obligation for claims arising from Customer modifications, third-party integrations, Customer Data, unlawful usage, or combinations with non-LeadWise products.
15. Disclaimers

LEADWISE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CUSTOMER TO LEADWISE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
17. Force Majeure
Neither party shall be liable for delays, failures, interruptions, or inability to perform resulting from causes beyond reasonable control, including internet outages, cloud failures, infrastructure disruptions, cyberattacks, labor disputes, natural disasters, governmental actions, sanctions, acts of war, utility failures, AI provider outages, or third-party service disruptions.
18. Assignment
Customer may not assign or transfer this Agreement without prior written consent of LeadWise. LeadWise may assign this Agreement in connection with a merger, acquisition, restructuring, financing, sale of assets, or corporate reorganization.
19. Severability
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
20. Waiver
The failure of either party to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision.
21. Independent Contractors
The parties are independent contractors. Nothing contained herein shall create a partnership, joint venture, agency relationship, fiduciary duty, or employment relationship between the parties.
22. Electronic Communications and Consent
Customer agrees that LeadWise may provide notices, disclosures, agreements, updates, invoices, and communications electronically. Customer further agrees that electronic acceptance, click-through acceptance, and digital acknowledgements constitute legally binding agreements.
23. Arbitration and Class Action Waiver
At LeadWise's election, disputes may be resolved through binding arbitration administered under commercially reasonable arbitration procedures. CUSTOMER WAIVES ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.
24. DMCA and Copyright Policy
LeadWise reserves the right to remove or disable access to content alleged to infringe intellectual property rights. LeadWise may investigate infringement claims and comply with applicable copyright laws and takedown procedures.
25. Beta Services
LeadWise may provide beta, pilot, preview, experimental, or early-access functionality ("Beta Services"). Beta Services may be modified, suspended, discontinued, or removed at any time without notice and are provided without warranties, uptime commitments, support obligations, or guarantees of data preservation.
26. Service Availability Disclaimer
Unless expressly stated in a separate written service-level agreement, LeadWise does not guarantee uninterrupted availability, uptime percentages, maintenance schedules, response times, or error-free operation of the Services.
27. Monitoring and Audit Rights
LeadWise reserves the right to monitor, investigate, review, audit, and analyze platform usage, customer behavior, integrations, outreach activity, API usage, and compliance with this Agreement where reasonably necessary to protect platform integrity, security, legal compliance, or operational stability.
28. Feedback License
Customer grants LeadWise a perpetual, irrevocable, worldwide, royalty-free right to use, incorporate, modify, commercialize, and otherwise exploit suggestions, recommendations, enhancement requests, or feedback relating to the Services without restriction or compensation.
29. No Professional Advice
The Services, AI Outputs, analytics, recommendations, scoring systems, workflows, and related materials do not constitute legal advice, accounting advice, financial advice, tax advice, compliance advice, employment advice, investment advice, or other professional advice.
30. Reservation of Rights
All rights not expressly granted under this Agreement are reserved by LeadWise and its licensors.
31. Customer Cooperation
Customer agrees to reasonably cooperate with LeadWise in connection with compliance investigations, abuse prevention efforts, security incidents, onboarding activities, infrastructure protection efforts, and lawful requests relating to use of the Services.
32. Suspension and Termination
LeadWise may suspend or terminate access to the Services for violations of these Terms, abusive conduct, excessive spam complaints, unlawful activity, non-payment, security risks, or platform protection purposes. Upon termination, Customer shall cease use of the Services. Certain provisions, including confidentiality, indemnification, disclaimers, and limitations of liability, shall survive termination.
33. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware without regard to conflicts-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to such jurisdiction and venue.
Data Processing Addendum (DPA)
LeadWise may process Personal Data solely as necessary to provide, maintain, support, secure, and improve the Services. Customer acts as data controller and LeadWise acts as processor where applicable under data protection laws.
LeadWise shall implement commercially reasonable technical and organizational measures designed to protect Personal Data against unauthorized access, disclosure, alteration, destruction, or misuse.
LeadWise may engage subprocessors, cloud infrastructure providers, analytics vendors, AI providers, hosting vendors, and support providers reasonably necessary to provide the Services.
Privacy Policy
LeadWise may collect account information, technical information, browser information, email metadata, engagement analytics, CRM data, AI interaction data, usage analytics, cookies, and operational telemetry.
LeadWise uses such information to operate the platform, improve AI functionality, provide support, maintain security, prevent abuse, analyze performance, and comply with legal obligations.
Security and Platform Protection
LeadWise maintains commercially reasonable safeguards including encryption, access controls, logging, monitoring, rate limiting, anomaly detection, infrastructure segmentation, spam protections, backup systems, and incident response procedures.
Acceptable Use Policy
Customer may not engage in any of the following:
- Spam or deceptive outreach.
- Phishing or malware distribution.
- Illegal scraping or unlawful data harvesting.
- Abusive automation.
- Credential attacks or unauthorized access.
- Sending unlawful communications.
- Violations of privacy or communications laws.

AI Governance Policy
AI features are probabilistic systems and may generate inaccurate or incomplete outputs. AI Outputs do not constitute legal, regulatory, accounting, financial, or professional advice. Human review is required.
LeadWise may provide beta or experimental AI functionality which may change materially over time and is provided without warranties.
API and Third-Party Integration Terms
APIs and integrations may be subject to usage caps, authentication requirements, operational limits, and rate restrictions. Third-party services including Gmail, Microsoft Outlook, HubSpot, Apollo.io, connected AI assistants, and browser integrations remain subject to third-party terms.
Connected AI Assistants
Customer and its users may connect the Services to third-party AI assistants, such as Claude by Anthropic or ChatGPT by OpenAI. A connected assistant acts on behalf of the user who connected it, within that user's permissions, the access the user granted on the LeadWise consent screen, and any limits set by Customer's workspace administrator. Data the assistant retrieves is transmitted to its provider at the user's direction and is governed by the user's agreement with that provider, which is not a LeadWise subprocessor.
Changes requested through an assistant are shown to the user for confirmation before they are made, and Customer is responsible for changes its users confirm, including enrolling contacts in sequences and scheduling email. Assistant output is an AI Output under these Terms. LeadWise may limit, suspend, or revoke assistant access to protect the Services, Customer, or recipients, and connected assistants may not be used to delete data or change billing, team, or workspace settings.
Export Controls and Sanctions
Customer shall not use the Services in violation of U.S. export laws, sanctions regulations, OFAC restrictions, or applicable trade controls.

Unless Customer opts out in writing, LeadWise may reference Customer name and logo in customer lists, marketing materials, presentations, investor materials, and website references.
